Terms and Conditions

1. Introduction and Scope

These Terms and Conditions ("Terms") govern the use of the Federate Health Platform and Services provided by Federate Health Solutions Private Limited ("Federate Health"), including all associated mobile apps, web applications, and digital services ("Platform"). The Platform enables healthcare service providers ("Customers") and their authorized team members ("Team Users") to manage operational services and engage with patients, including publishing healthcare-related content to social media.

By registering for or using the Platform or Services, the Customer and all Team Users agree to abide by these Terms and the Privacy Policy, as well as any additional published policies, including the Acceptable Usage Policy and Authorized User Terms.

2. Definitions

  • Federate Health: Federate Health Solutions Private Limited (hereafter referred to as “Federate Health”), operates a technology platform (hereafter referred to as “Platform”) for healthcare service providers to manage their day-to-day operational services and engage with their patients. 

  • Platform: Federate Health’s technology solution enabling healthcare providers to manage operational services and engage patients, including web and mobile applications. The Platform applications are intended only as tools, which help healthcare providers and their patients to collaborate, using communication, scheduling, administrative and data managing capabilities.  

  • Customer: Licensed healthcare service providers or organizations registering and maintaining provider accounts. If a provider account is being set up for an individual healthcare service provider who is not formally affiliated with an organization, the Customer is the individual availing the services of the Platform. If the provider account is being set up for a healthcare services organization, the organization is the Customer.

  • Team User: Customers can create authorized user accounts for their team members who may be employees and/or associates, to log in to and use their provider account through appropriate interfaces. The Primary User Account of a provider account, created when the provider account is registered and set up, also counts as a Team User account. All Team Users are directly bound by the Authorized User Terms.

  • User Generated Content (UGC): Content created and posted by Customers or Team Users on the platform, including custom social media posts that may include offers and promotions for patients, patient images pre/post-treatment, patient testimonials and in any form accepted by the platform.

  • Federate Health Generated Content: Health-related content created by Federate Health using own- or third-party tools. 

  • Patient Data: Any information that identifies a patient and/or relates to their medical condition, treatment, or experience.

 

3. Eligibility and Registration

  • Only licensed healthcare providers or authorized representatives of licensed healthcare organizations can register for a provider account. Evidence of relevant licences and approvals may be requested at any time.

  • Customers shall use the Platform solely for providing healthcare services and related engagement to authorized Patient Users.

  • All registration information provided must be true, accurate, current, and complete. Customers are responsible for updating registration data periodically.

  • Customers and Team Users must use their actual identities and cannot impersonate any other person.

  • All Team Users must be of legal age and possess the necessary licences and qualifications for their roles.

  • Federate Health reserves the right to refuse registration, suspend, or terminate accounts for violations of these Terms.

 

4. Provider Accounts, Authorized Users, and Responsibilities

  • Federate Health will set up provider accounts for eligible healthcare service providers or organizations. The designated Customer owns and controls the provider account.

  • Customers can add Team Users (employees or associates) to their provider account. The Primary User Account also counts as a Team User.

  • The Customer is responsible for:

    • All activities, configurations, and settings in the provider account.

    • Training Team Users in proper usage of the Platform and ensuring compliance with all applicable laws and these Terms.

    • Ensuring Team Users are aware of and bound by these Terms and related documented policies.

    • Assigning Team Users who are qualified, licensed, and of legal age.

    • Deciding which Team Users can be added or removed.

 

5. Content Creation, Posting, and Ownership

5.1 Federate Health Generated Content

  • Federate Health creates quality healthcare content using standard templates.

  • The exact same templated content will not be distributed to clinics or doctors within a five hundred (500) metre radius to ensure content uniqueness and marketing ethics.

  • Customers may review and schedule Federate Health-generated content for publishing on social media via the Platform.

5.2 User Generated Content (UGC)

  • The Platform allows Customers to create and publish their own content types, including:

    • Posts featuring patient images or documentation of treatments

    • Patient Testimonials containing patient reviews.

    • Posts for offers, discounts, and custom promotions.

  • Customers are fully responsible for:

    • Obtaining explicit, written informed consent from patients for sharing any patient-identifiable information or images, in compliance with applicable Indian laws such as the Digital Personal Data Protection Act, 2023, and relevant Medical Council of India (MCI) guidelines.

    • Retaining records of all patient consents as required under the law.

    • Ensuring the privacy and confidentiality of all healthcare information and that no patient information is published or distributed without valid consent.

    • Maintaining patient anonymity or pseudonymisation when required; identifiable patient data should not be published unless explicit consent is on record.

  • Federate Health does not provide patient consent templates; Customers must independently manage compliance, consent documentation, and retention.

5.3 Moderation and Approval

  • Federate Health-generated templated content can be previewed and scheduled via the Platform. The Customer decides what posts to publish.

  • User Generated Content is posted directly by Customers/Team Users without Federate Health moderation or pre-approval; Customers bear sole responsibility for compliance of such content.

5.4 Content Prohibitions

Customers and Team Users must not publish or transmit content that:

  • Violates any Indian law or regulation concerning healthcare, privacy, or advertising standards.

  • Infringes third-party intellectual property, privacy, or publicity rights.

  • Lacks necessary patient consent for identifiable information.

  • Is misleading, defamatory, obscene, pornographic, hateful, abusive, harassing, incites violence, spreads misinformation (including COVID-19/vaccine misinformation), or violates the ethical guidelines issued by regulatory authorities.

  • Advertises prescription drugs or procedures in contravention of the Ministry of Health and Family Welfare rules or Medical Council of India regulations.

  • Contains viruses, malicious code, or attempts to disrupt Platform integrity.

Federate Health reserves the right, but is not obligated, to review, edit, or remove any content violating these prohibitions.

5.5 Intellectual Property

  • The Platform, templates, visual designs, and branding are proprietary to Federate Health and protected by applicable intellectual property laws.

  • Federate Health grants Customers a limited, non-exclusive, non-transferable license to use the Platform and content solely for the intended purposes and during the subscription period; no rights to copy, adapt, resell, or commercially exploit outside of Platform use are granted.

  • Customers retain copyright on their original User Generated Content but grant Federate Health a worldwide, non-exclusive, royalty-free license to host, transmit, reproduce, and display the content as required to deliver Services.

 

6. Data Policy Privacy, and Security

  • All data submitted to or generated through the Platform, including communications, usage logs, UGC, patient information, and media, is "Customer Data" and owned by the Customer.

  • Customers are responsible for ensuring all data management and practices comply with applicable Indian healthcare and data protection laws.

  • Customer Data is processed in accordance with the Federate Health Privacy Policy and relevant legislation.

  • Customers control instructions regarding data export, deletion, and processing.

  • Upon account deactivation/cancellation, data will be retained for a maximum period of thirty (30) days. It is the Customer’s responsibility to request and export their data within this period; after this, data will be permanently deleted and not recoverable. Federate Health is not liable for any loss resulting from failure to export such data within the notified timeline.

  • Federate Health implements high-security measures for data protection, but is not liable for non-compliance, missing consent, or regulatory breaches by Customers.

 

7. Acceptable Usage Policy

  • Customers and Team Users must not share account credentials. All account activity is the sole responsibility of the account holder.

  • Accessing accounts, systems, or data other than those expressly permitted is strictly prohibited.

  • Use of robots, spiders, scrapers, or any automated means to interact with the Platform without explicit written permission is not permitted.

  • The Platform may not be used to study, reverse-engineer, copy, or replicate Federate Health's features by competitor services.

  • Federate Health reserves the right to block users from certain IPs and terminate access for violation of the Acceptable Usage Policy.

 

8. Platform Updates and Feedback

  • Customers acknowledge the Platform is continuously updated and improved, and features may change without prior notice.

  • Any feedback or suggestions submitted by Customers may be used by Federate Health without restriction or obligation, under a perpetual, royalty-free license.

 

9. Subscriptions, Payments, and Refund Policy

  • Use of the Platform is subject to subscription plans. All subscriptions auto-renew unless cancelled prior to the billing cycle end.

  • All charges are paid forward for the subscription period and are non-refundable, irrespective of cancellation or termination for any reason.

  • Failure to pay on time may result in suspension or deactivation of accounts.

  • Federate Health reserves the right to change subscription plans or pricing at any time, with notification provided via Platform or registered email.

 

10. Third Party Services and Social Media Integration

  • The Platform integrates with authorized third-party services, including Facebook and Google My Business, via third party tools for automated posting.

  • Customers authorize Federate Health to transfer, host, and publish approved content via third-party APIs as required.

  • Federate Health is not liable for actions of third-party service providers or any impact on social media account status, content bans, or delivery failures.

  • Customers are responsible for compliance with third-party platform policies and informed consent prior to integration and publication.

 

11. Limitation of Liability

  • Federate Health, its affiliates, officers, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages including loss of profits, data, or business interruption arising out of:

    • Use or inability to use the Platform or Service.

    • Unauthorized access, alteration, or destruction of Customer Data.

    • Statements or conduct of any third party using the Service.

    • Failure to secure account credentials, passwords, or comply with obligations under these Terms.

  • Total liability, if any, shall be limited to the amount paid by the Customer for the current subscription period.

 

12. Indemnification

Customers agree to defend, indemnify, and hold harmless Federate Health, its officers, directors, employees, successors, assigns, service professionals, suppliers, and agents from all claims, damages, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:

  • Use, access to, or participation in the Platform or Services.

  • Violation of these Terms or the Privacy Policy.

  • Violation of any applicable laws or third-party rights.

  • Damage caused by posted or transmitted Customer/User Content.

Indemnification survives termination of Customer’s account.

 

13. Termination, Deactivation, and Data Retention

  • These Terms take effect upon first use of the Platform and remain in force until terminated by either party. Termination does not relieve Customers of any obligations accrued prior to the effective date.

  • Upon termination, access for all associated Team Users is withdrawn, and obligations under these Terms (including indemnification and data export) continue.

  • Provider accounts are maintained for up to thirty (30) days post-deactivation or cancellation for Customer Data export. After this period, data is permanently deleted, and Federate Health accepts no liability for such deletion.

 

14. Assignment

  • Neither party may assign or delegate rights or obligations under this Agreement without written consent, except in connection with a merger, corporate reorganization, or sale of all assets with notice. Any purported assignment in violation of this clause is void.

 

15. Jurisdiction and Governing Law

  • These Terms are governed by the laws of India, without reference to conflict of law principles.

  • All disputes shall be subject to the exclusive jurisdiction of the courts at Mumbai, India.

  • Use of the Platform is not authorized in any territory that does not give effect to all provisions of these Terms.

 

16. Force Majeure

  • Federate Health and its officers, employees, agents, and content providers are absolved from claims of damages resulting from causes beyond their control, including but not limited to equipment failure, unauthorized access, natural disaster, strikes, wars, or governmental restrictions.

 

17. General Provisions

  • These Terms constitute the entire agreement between Federate Health and the Customer and supersede all prior understandings on the subject.

  • If any provision is held invalid or unenforceable, the remainder shall remain in full force and effect.

  • Notices must be delivered in writing and acknowledged as received.

  • No partnership, joint venture, or agency relationship is created by these Terms. Neither party has authority to bind the other in respect of any third party.

  • Federate Health may subcontract its responsibilities in good faith to qualified third parties, reflecting relevant material provisions.

  • Customers may not assign or sub-license rights or obligations under this Agreement without Federate Health’s prior written consent.
